Terms of Service

1. Acceptance of Terms

By accessing or using PromptStdio (the "Service"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use the Service.

2. Description of Service

PromptStdio is a prompt asset management platform that helps users create, manage, share, and use AI prompts and workflow suites. The Service is provided through a web interface, APIs, and the MCP protocol. We reserve the right to modify or discontinue the Service at any time without notice.

3. User Accounts

You need an account to use the full features of the Service. You are responsible for maintaining the confidentiality of your account and password, and for all activity under your account. You must provide accurate, complete, and current registration information. We reserve the right to suspend or terminate your account for violating these terms.

4. User Content

You retain all rights to the prompts, suites, and other content you create, upload, or store on the Service ("User Content"). By using the Service, you grant us a limited license to store, process, and display your User Content only to the extent necessary to provide the Service to you.

You must not upload, create, or share any content that is unlawful, infringing, defamatory, harassing, obscene, or otherwise objectionable. We reserve the right to review and remove content that violates these terms.

5. Acceptable Use

When using the Service, you agree not to:

• Violate any applicable laws or regulations
• Interfere with or disrupt the Service or its servers
• Attempt unauthorized access to any part of the Service or other users' accounts
• Upload malware, viruses, or other harmful content
• Engage in fraudulent, false, or misleading activity
• Collect other users' information without authorization

6. Intellectual Property

The Service's software, interface, features, and design (excluding User Content) are owned by PromptStdio and its licensors and are protected by intellectual property laws. Except as provided in Section 7, you may not copy, modify, distribute, sell, or rent the platform portion of the Service without written permission.

7. Member Zone Content

Official toolkits, prompts, and suite steps in the Member Zone ("Member Content") are owned by PromptStdio. During an active membership subscription, you may use Member Content in your personal projects and use it in IDEs and your personal library through the copy and save features the Service provides.

After your subscription expires, copies you saved to your personal library during the subscription may continue to be used personally, but you can no longer access the Member Zone for new content. You must not resell Member Content, distribute it publicly in bulk, republish scraped copies, or remove attribution and republish it as official content.

If you violate this section, we may suspend or terminate your membership benefits and account access, and pursue legal liability under applicable law.

Membership is a virtual service activated immediately upon successful payment. Except as required by law, paid subscription fees are non-refundable.

A membership subscription does not transfer or sublicense copyright in Member Content. Subscribing means you agree to this section.

8. Third-Party Services

The Service may contain links to third-party websites or services that we do not own or control. We assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we are not liable, directly or indirectly, for any damage or loss caused by the use of or reliance on any third-party content.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, PromptStdio and its directors, employees, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising from:

• Your use or inability to use the Service
• Unauthorized access to or alteration of your transmissions or data
• Statements or conduct of any third party on the Service
• Any other matter relating to the Service

11. Termination

We may terminate or suspend your account immediately, without notice or liability, for any reason, including without limitation a breach of these terms. Upon termination, your right to use the Service ceases immediately. You may stop using the Service at any time by deleting your account.

12. Changes to These Terms

We reserve the right to modify or replace these terms at any time. Material changes will be communicated at least 30 days in advance. Continuing to use the Service after changes take effect means you accept the revised terms. If you do not agree with the new terms, please stop using the Service.

13. Governing Law

These terms are governed by and construed in accordance with the laws of the People's Republic of China. Any dispute arising from or relating to these terms shall be resolved through friendly negotiation; if negotiation fails, either party may bring an action in a court of competent jurisdiction.
